1. Scope and acceptance1. 协议范围与接受方式

1.1 These terms are an agreement between you and the AV2Text developer (an individual developer, “we”) about your use of the AV2Text application and related services.1.1 本协议是你与 AV2Text 开发者（个人开发者，下称「我们」）之间就使用 AV2Text 软件及其相关服务达成的约定。

1.2 By installing, copying or using the Software you confirm that you have read, understood and accepted these terms. If you do not accept them, stop using the Software and uninstall it.1.2 你安装、复制或以任何方式使用本软件，即表示你已阅读、理解并同意本协议；若不同意，请立即停止使用并卸载。

1.3 Bundled third-party open-source components are governed by their own licences (section 4); these terms do not limit the rights those licences give you.1.3 本软件随附的第三方开源组件适用其各自许可（见第 4 节），本协议不改变这些许可赋予你的权利。

2. Definitions2. 定义

• Software: the AV2Text desktop application and its updates.本软件：AV2Text 桌面应用程序及其更新。
• Built-in quota: free cloud calls provided through the relay, funded by us.内置额度：由我们承担成本、经中继提供的免费云端调用额度。
• Own key: a third-party model API key you obtained and entered, used to connect directly to that provider.自有 Key：你自行申请并填入的第三方模型服务密钥，用于直连该服务商。
• Your content: the audio/video you import, transcripts, restored text, translations and exported files.你的内容：你导入的音视频文件、转写文本、校正结果、译文及导出文件。

3. Licence and restrictions3. 许可授予与限制

3.1 Free for personal use. We grant you a non-exclusive, non-transferable licence to use the Software personally on devices you own.3.1 个人使用免费。我们授予你一项非独占、不可转让的许可，供你在自有设备上个人使用本软件。

3.2 Commercial use, redistribution, or bundling with another product requires prior written permission (hi@bimon.net).3.2 商业使用、再分发、与其它产品打包销售，需事先取得书面授权（联系 hi@bimon.net）。

3.3 You must not:3.3 你不得：

• use the Software unlawfully, or process material you have no right to process;将本软件用于违法用途，或处理你无权处理的材料；
• remove or obscure copyright, attribution or open-source notices in the app or in exports;移除、遮盖软件内或导出文件中的版权、署名与开源许可声明；
• automate bulk calls against the built-in quota, circumvent its limits, or interfere with the relay;对内置额度进行自动化批量调用、绕过额度限制、或干扰中继服务的正常运行；
• use the AV2Text / All2Text name or icons misleadingly.以误导性方式使用 AV2Text / All2Text 的名称与图标。

3.4 You may reverse engineer only to the extent expressly permitted by law (for example, for interoperability); anything beyond that is prohibited.3.4 在法律明确允许的范围内（如为实现互操作性），你可以进行必要的反向工程；超出该范围的反向工程被禁止。

4. Third-party components and open-source licences4. 第三方组件与开源许可

The Software bundles third-party components and pre-trained models under their own licences (including CC-BY-4.0 assets that require attribution: WeSpeaker ResNet34-LM, the pyannote community-1 PLDA, and others). The full list ships with the app: Settings → About → Open-source licenses. If you redistribute the Software you must keep those notices and licence texts.本软件包含按各自许可分发的第三方组件与预训练模型（含要求署名的 CC-BY-4.0 资产：WeSpeaker ResNet34-LM、pyannote community-1 的 PLDA 等）。完整清单随软件分发：设置 → 关于 → 开源许可。你再次分发本软件时，必须保留这些声明与许可文本。

5. Your content and your warranties5. 你的内容与你的保证

5.1 You keep all rights to your content; we claim none. Because processing is local, we never receive or store your audio/video or transcripts (cloud features excepted, and they send text only).5.1 你保留对你内容的全部权利；我们不主张任何所有权。由于本软件在本机处理，我们不会接触、也不会保存你的音视频与转写内容（云端功能除外，且只传文本）。

5.2 You warrant that you hold the rights needed to process that material (copyright, personality, privacy, confidentiality) or have lawful authorisation.5.2 你保证：你拥有处理这些材料所必需的 rights（著作权、肖像权、隐私权、保密义务等），或已获得合法授权。

5.3 Keep your own backups. Files are written where you point the app; the Software does not archive anything for you, and we are not liable for losses caused by missing backups.5.3 请自行保留备份。 文件写到你指定的目录，本软件不替你归档；对因未备份造成的损失，我们不承担责任。

6. Cloud service (built-in quota)6. 云服务（内置额度）

6.1 Not core functionality. Cloud Restore and Translate are outside the offline core; if you never use them, every offline capability still works.6.1 非核心功能：云端「校正（还原）」与「翻译」不属于离线核心功能；不使用它们，软件的全部离线能力不受影响。

6.2 As-is. The built-in quota is funded by us, is capped (per device and per network), may be rate-limited at busy times, and may change or be withdrawn. No availability commitment (no SLA).6.2 按现状提供：内置额度由我们承担成本，有额度上限（按设备与网络限流），繁忙时段可能限流，可能调整或终止，不承诺任何可用性（无 SLA）。

6.3 Fair use. Do not abuse it, bulk-call it, or automate it. When you exceed a limit the service returns an error and points you to your own key.6.3 合理使用：请勿滥用、批量或自动化调用。超限时服务会返回错误并提示你改用自己的 Key。

6.4 Switch any time. You may enter your own key under Settings to connect directly; that path does not consume the built-in quota and is governed by your agreement with that provider.6.4 可随时切换：你可以在设置中填入自有 Key 直连服务商，该通路不占内置额度，其服务条款由你与服务商之间约定。

6.5 What is sent: the text to process only — no audio, no file names. See Privacy Policy 5.2.6.5 发送内容：仅发送待处理文本，不含音频与文件名；详见《隐私政策》第 5.2 节。

7. AI output disclaimer (important)7. AI 输出免责（重要）

7.1 Transcription, restore and translation output is generated automatically and may be wrong (names, technical terms, homophones and numbers are the usual casualties). The status bar says so too.7.1 转写、校正与翻译结果由模型自动生成，可能存在错误（人名、专业术语、同音字、数字尤其容易出错），软件状态栏亦有提示。

7.2 Output is not professional advice (legal, medical, financial, safety). Read it before you rely on it; consequences of not doing so are yours.7.2 结果不构成任何专业意见（法律、医疗、金融、安全等）。在依赖结果之前，请人工核对；因未核对而产生的后果由你承担。

7.3 Restore is designed to fix obvious recognition errors without rewriting your wording, but the model can still misjudge; your original text and your own judgement prevail.7.3 「校正（还原）」的设计原则是只纠正明显的识别错误、不改写你的表达；但模型仍可能判断失误，请以你的原文与判断为准。

8. Online video download8. 在线视频下载

8.1 The feature accesses third-party sites you specify via yt-dlp. You are responsible for complying with those sites' terms and applicable law (rate limits, account permissions, copyright).8.1 该功能通过 yt-dlp 访问你指定的第三方站点，你与该站点之间的条款与法律由你遵守（包括访问频率、账号权限与著作权）。

8.2 To fetch videos behind a login, the app reads your browser's login state (cookies) by default; you can switch it off. See Privacy Policy 5.3.8.2 为下载需登录的视频，软件默认读取你本机浏览器的登录状态（cookie），可在设置中关闭；详见《隐私政策》第 5.3 节。

8.3 Download only what you are entitled to download; any dispute arising from a download is yours to bear.8.3 请只下载你有权下载的内容；因下载行为产生的任何争议与责任由你承担。

9. Software updates9. 软件更新

9.1 “Check for updates” only reads public version information and never downloads or installs anything automatically; upgrading is your choice.9.1 「检查更新」只读取公开的版本信息，不会自动下载或安装任何内容；是否升级由你决定。

9.2 Obtain installers from the official channel (a2t.bimon.net or the object storage it points to). We give no assurance for builds obtained elsewhere.9.2 请从官方渠道（a2t.bimon.net 或其指向的对象存储）获取安装包。我们对非官方渠道获取的版本不作任何保证。

9.3 If you upgrade, the new version may carry updated terms (section 13).9.3 若你选择升级，新版本可能包含本协议的更新（见第 13 节）。

10. Disclaimer10. 免责声明

10.1 To the maximum extent permitted by law, the Software is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.10.1 在法律允许的最大范围内，本软件按「现状」与「现有」提供，不附带任何明示或默示的担保，包括但不限于适销性、特定用途适用性、不侵权、以及不间断或无错误运行的担保。

10.2 We do not warrant that recognition/restore/translation output is accurate, that the Software is compatible with your hardware, OS or third-party services, or that the cloud service will remain available.10.2 我们不保证：识别/校正/翻译结果的准确性；与你的硬件、操作系统或第三方服务兼容；云服务持续可用。

11. Limitation of liability11. 责任限制

11.1 To the maximum extent permitted by law we are not liable for indirect, incidental, special, punitive or consequential losses, including lost profits, lost data, business interruption or third-party claims.11.1 在法律允许的最大范围内，我们不对任何间接、附带、特殊、惩罚性或后果性损失承担责任，包括利润损失、数据丢失、业务中断或第三方索赔。

11.2 Because the personal licence is free of charge, our aggregate liability under these terms is limited to the amount you actually paid (if none, zero).11.2 由于本软件的个人使用许可是免费的，我们就本协议承担的累计责任上限为你实际支付的金额（若无支付，则为 0 元）。

11.3 Nothing here excludes liability that cannot lawfully be excluded (for example wilful misconduct or personal injury).11.3 本条不排除依法不可排除的责任（例如故意或重大过失、人身伤害）。

12. Termination12. 终止

12.1 You may stop using the Software and uninstall it at any time; these terms then end.12.1 你可以在任何时候停止使用并卸载本软件，本协议随之终止。

12.2 If you breach section 3 (licence restrictions) or abuse the cloud service, we may stop providing the built-in quota to you.12.2 若你违反第 3 节（许可限制）或滥用云服务，我们可拒绝继续为你提供内置额度。

12.3 Sections 4, 7, 10, 11, 14 and 15 survive termination.12.3 终止后，第 4、7、10、11、14、15 节继续有效。

13. Changes to these terms13. 协议变更

We may update these terms with new releases; a new version and effective date will be published in the app and on the Site. Material changes get prominent notice. Continuing to use the Software after a change takes effect means you accept it; if not, stop using and uninstall.我们可能随新版本更新本协议；更新后会在软件内与本站发布新版本号与生效日期。重大变更将以显著方式提示。变更生效后你继续使用，即视为接受；如不接受，请停止使用并卸载。

14. Governing law and disputes14. 适用法律与争议解决

14.1 These terms are governed by the laws of the People's Republic of China (excluding conflict-of-laws rules); mandatory consumer protection in your own country prevails where it is more favourable to you.14.1 本协议适用中华人民共和国法律（不含冲突法）；若你所在地的强制性消费者保护规定对你更有利，从其规定。

14.2 Disputes should first be resolved amicably; failing that, either party may bring the matter before a court of competent jurisdiction.14.2 争议应先友好协商；协商不成，任何一方可向有管辖权的人民法院提起诉讼。

15. Miscellaneous15. 其他条款

15.1 Severability: if any provision is held invalid or unenforceable, the rest remains in force.15.1 可分割性：本协议任一条款被认定无效或不可执行，不影响其余条款的效力。

15.2 Entire agreement: these terms and the Privacy Policy are the complete agreement between you and us regarding the Software, superseding earlier discussions.15.2 完整协议：本协议与《隐私政策》构成你与我们之间关于本软件的完整约定，取代此前的口头或书面沟通。

15.3 Language: published in Chinese and English; where they differ, the Chinese version prevails (unless mandatory law provides otherwise).15.3 语言：本协议以中文与英文发布；两种文本不一致时，以中文版本为准（但适用法律另有强制规定的除外）。

15.4 No waiver: our failure or delay in exercising a right is not a waiver of it.15.4 不弃权：我们未行使或延迟行使任何权利，不构成对该权利的放弃。
